1 ACCEPTANCE OF TERMS

1.1 The Trib-e is a private online innovation community operated by Thepsilon Tribe Plc and its affiliates including The Alpha and Epsilon Tribe Ltd.

1.2 We start every new member relationship with a contract. The following contract spells out what you can expect from us, and what we expect from you. By agreeing to these Terms and Conditions you confirm that you have read and accept these Terms and Conditions, and that you agree to be bound by them.

1.3  This Contract constitutes the entire and only agreement between The Trib-e and it's members, and supersedes any and all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the goods, services and information provided by or through The Trib-e, and the subject matter of this Contract.

1.4 We shall have the right at any time to change or modify and amend these terms of use, for any reason, and without prior notice. Use of the website as a member indicates your acceptance of any changes. You are responsible for regularly reviewing these terms of use. Any use of The Trib-e by you after such notice shall be deemed to constitute acceptance by User of such changes, modifications or additions.

2 MEMBERSHIP CONDITIONS
2.1 Our website and membership are available to the general public via an application process. The Trib-e offers two levels of membership; visitors (free membership) and residents (shareholders), these Terms and Conditions are relevant to each. Your access to the various services available on this system depends on the level of membership you select.

2.2 As a member, you may not have more than one membership account, nor may you open an alternative account if your membership is suspended, shifted outside of thetrib-e.com, or terminated for any reason. You may not sell, trade, or transfer a membership account to another person, nor accept or use an account that was not originally yours. If an account violates these conditions, the account will be terminated immediately.

2.3 Your participation in The Trib-e is based upon the assumption that all information you provide regarding yourself is truthful and accurate. Misleading or false information is sufficient reason for us to terminate your account. You may not use a pseudonym or alias.

2.4 We reserve the right to change or adjust membership criteria and to make changes in the existing membership at any time and without prior notice.

2.5 We reserve the right to modify, suspend or terminate access to the service on our system at any time for any reason without notice or refund. We also reserve the right to delete all program and data files associated with your account and/or other information you have on our system.

3 CONDITIONS OF USE AND SERVICE
3.1 Your use of The Trib-e is in accordance with these terms of use, and The Trib-e may deny service or membership without prior notice if you fail to comply with them.

3.2 The Trib-e is made available for personal and individual use only.

3.3 We provide a platform and environment for creativity and innovation. If members enter into agreements with other members through The Trib-e, we are not a contracting party to these agreements and cannot be held liable or accountable regarding these agreements.

3.4 We reserve the right to remove any content posted by you or other members at our sole discretion, for reasons including but not limited to that it is unlawful, threatening, libelous, defamatory, fraudulent, obscene or otherwise objectionable, or because it may infringe or violate any party's intellectual property or privacy.

3.5 The Trib-e reserves the right to make changes to the website or our service without prior notice.

3.6 By posting or submitting content or information on the website, you automatically grant The Trib-e a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to display such content on our website.

3.7 The Trib-e reserves the right in its sole discretion to refuse service at any time. Sale of any goods or services is subject to availability.

4 USER CONDUCT
4.1 You shall use The Trib-e for lawful purposes only. You shall not post or transmit through The Trib-e any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law.

4.2 You may not monitor, data-mine, or copy our web pages or any content within the site, nor collect, archive, trade or sell any personal data or communications about other members.

4.3 The use of any robot, spider, site search or retrieval application, or any other device to copy, retrieve, archive or index any portion of The Trib-e, is not permitted.

4.4 You may not distribute, display or publish in any form, electronic or print, any content from the website or the names of any members without our express consent, nor can you share, transmit or sell any content on the website with anyone who is not a member of The Trib-e, for whatever reason.

4.5  At registration you will choose a password and a user name. You alone are responsible for the confidentiality and security of your account, username, password and usage. You are also accountable for all activities regarding your account, with or without your knowledge or permission. If you knowingly provide your log-in information to another person, your membership may be suspended temporarily or terminated. The Trib-e assumes no liability for activities of your account accessed through your password and username. You agree to keep your password confidential and to notify The Trib-e within 24 hours of any breach of this Contract or unauthorized use of the password.

4.6 You may not use The Trib-e for any illegal purpose in any country or jurisdiction.

4.7 It is not permitted to make available any content or initiate communication that infringes upon the patents, trademarks, trade secrets, copyrights or other proprietary rights of third parties, whether personal, corporate or governmental.

5 DATA AND INFORMATION PROTECTION
5.1 We will not disclose any personal data to any third party without being entitled to do so and with your express permission.

5.2 While we make every effort to keep The Trib-e a trusted and safe environment, The Trib-e cannot be held liable should content you have posted on the website that is viewable by members be copied or distributed elsewhere.

5.3 Access to your private account information is limited to webmasters and management of The Trib-e.

5.4 The Trib-e may access, preserve, and disclose the contents of your account if required to do so by law, or in the belief that such actions are reasonably necessary to comply with legal requirements or to protect the rights and property of The Trib-e.

5.5 Some areas of the Web Site require you to actively submit information. Your personal information submitted to us is used for operational purposes only.

5.6 We take the security of your data very seriously. We employ physical, electronic and administrative security measures to protect the information that we collect about you from access by unauthorised persons and against unlawful processing, accidental loss, destruction and damage. You acknowledge and agree that we shall not be responsible for any unauthorised use, distribution, damage or destruction of personal data, except to the extent we are required to accept such responsibility by the data protection laws.

6 TERMINATION OF YOUR ACCOUNT
6.1 You may terminate your account at any time without cause, penalty or explanation.

6.2 The Trib-e may, at our discretion and with or without cause, immediately terminate your member account and all access to the website without prior notice.

6.3 Our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and other provisions of these terms and conditions continue after termination of your membership.

7 DISCLAIMERS AND LIMITATIONS
7.1 Disclaimer of Warranties: The Trib-e and its affiliates, licensors, partners, suppliers, consultants and agents ("The Trib-e") disclaim any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability, or availability of information or materials displayed on any of our websites. The Trib-edisclaims any and all responsibility and liability for the conduct of any member. The THE TRIBE service, and all materials, information (including, without limitation, any information or materials obtained or accessed through the The Trib-e websites), products and services included therein are provided "as is," with no warranties whatsoever. The Trib-e expressly disclaims to the fullest extent permitted by law all express, implied, and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. Some jurisdictions do not allow the exclusion or limitation of implied warranties, so the above disclaimers and exclusions may not apply to you. You agree that your use of the The Trib-e is entirely at your own risk. You agree to hold harmless and indemnify The Trib-e from and against any third-party claim arising from or in any way related to your use of our services and website, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.


7.2 You shall defend and indemnify us and hold us harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees), relating to any acts by you or materials or information transmitted by you in connection with our system, leading wholly or partially to claims against us or our system by other subscribers or third parties, regardless of the type of claim or the nature of the cause of action.

7.3 Copyright and Trademarks: ThEpsilon Tribe Plc and its affiliates and licensors own and retain all rights in the The Trib-e website and service, which contain proprietary and confidential information that is protected by applicable intellectual property and other laws. "The Trib-e" and "thetrib-e.com" are trademarks of Thepsilon Tribe Plc. All content on thetrib-e.com is copyright Thepsilon Tribe Plc.

8 FEES AND PAYMENT
8.1 There is no cost to become a visitor member of The Trib-e, however there are certain fees and charges for the carrying out of various activities. If applicable , these will be identified during the purchase process.

8.2 To become a resident of The Trib-e it is necessary for members to purchase shares. The cost of shares will be identified during the purchase process.

8.3 You confirm that you are at least 18 years old and have authority to use the payment method or billing account details you provide for the purpose of settling any payments due for any purchase made through The Tribe or that you owe to us. You also promise that all information supplied by you  is accurate and that you will not make any speculative, false or fraudulent purchases.

8.4 You acknowledge that you will be financially responsible for any purchases which are made through The Trib-e using your account details and for all reasonable and foreseeable losses which we suffer as a result of your breach of these terms or your negligence when using the The Trib-e (including where you deliberately or negligently let others use your account).

8.5 The prices quoted on The Trib-e are in pounds sterling. If you choose to make payment using a foreign credit or debit card, you will be responsible for the exchange rate and you are advised that refunds may be affected by such exchange rates.

8.6 You can cancel your account at any time, but you will remain liable for all charges accrued up to that time.

8.7 We reserve the right to change our fees at any time for any reason, but, whenever possible, we will give you at least one month's advance notice of such change.

9 REFUND POLICY
9.1 If a product purchased is defective, you can return the product in its original condition within 30 days of receipt, to the following address: 76  Neal Street, Covent garden, London. In such event, The Trib-e shall provide you with a refund (less shipping and handling charges incurred).

10. INTELLECTUAL PROPERTY
10.1 All intellectual property, copyright, design right, registered designs, trade marks, patents, database rights and confidential information and ideas and all other rights whatsoever of a like nature world wide whether registered or not of whatever nature will vest on and belong to the member by which they are submitted until a time at which an agreement is formed between The Trib-e and the member.

10.2 The content, organisation, gathering, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks, and other proprietary (including but not limited to intellectual property) rights, and, the copying, redistribution, use or publication by a member of any such content or any part of THE TRIBE is prohibited.

11. UNSOLICITED IDEA SUBMISSION POLICY
11.1 The Trib-e or any of it's employees do not accept or consider unsolicited ideas that are not submitted via The Trib-e website. Please do not send us any works outside of this mechanism.

12 DISCLAIMERS OF WARRENTY
12.1 The system is provided "as is" and we make no warranties, express or implied , as to the merchantability, fitness for a particular use or purpose, title, non-infringement or any other warranty, condition, guaranty, or representation, whether oral, in writing or in electronic form, including but not limited to the accuracy or completeness of any information contained therein or provided by the service.

13 ACKNOWLEDGEMENT
13.1 This Agreement represents the entire Agreement between the parties and shall prevail over any other conditions. If any part of this Agreement is found to be void or un-enforceable by any Court of competent jurisdiction, such part shall be severed from this Agreement, which will otherwise remain in full force and effect.

13.2 The failure by The Trib-e at any time or for any period to enforce any one or more of these Terms and Conditions shall not be a waiver of them or a waiver of the right to enforce such Terms and Conditions on a future occasion.

13.3 These Terms shall be governed by and interpreted according to English Law and the parties submit to the exclusive jurisdiction of the English Courts.
